It is our responsibility to understand your business inside and out. We will evaluate your business up front (i.e., M&A readiness / preparation) in order to identify and/or address any issues before buyers do. Sometimes you only get one shot at consummating a deal.

Once we develop a comprehensive understanding of your business, its operating performance and outlook, we will formulate an independent view of your business’ worth. This will serve as a basis for future decision making, including: how or whether to move forward with a sale process; evaluating letters of intent (“LOI”) or purchase offers in hand; and evaluating future purchase offers as they are received.

We will develop materials with the chief aims of [A] marketing to buyers and [B] minimizing the time owners / management need to spend away from the business. We will provide this information to buyers in stages, subject to having non-disclosure agreements in place, vetting buyer qualifications, and gauging buyer levels of interest.

We will often require buyer LOIs or indications of interest before sharing additional information about the company or scheduling due diligence meetings with management. With this said, even buyers who have submitted unsolicited purchase offers will want to conduct customary due diligence. We will help you manage the due diligence process and information flows to foster an efficient and orderly transaction, and keep you focused on running a successful business operation.

As we approach closing, we will work closely with you and your team of legal and tax advisors to evaluate transaction structure and lead the negotiation of key terms.
